Welcome to Sage Cooking, a product of AI Dente, LLC. These Terms of Service ("Terms") govern your access to and use of our website, services, and any content generated through our platform ("Content"). By accessing or using Sage Cooking, you agree to be bound by these Terms. These Terms form a legally binding agreement between you and AI Dente, LLC.

Acceptance of Terms

By accessing and using Sage Cooking, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you are not authorized to use the website, services, or any Content. Your use of Sage Cooking is contingent upon your acceptance of these Terms in their entirety.

Eligibility

You must be at least 13 years old to use Sage Cooking. By using the website, you represent and warrant that you are at least 13 years old and have the legal capacity to enter into a binding contract. If you are using Sage Cooking on behalf of an organization or entity, you represent and warrant that you are authorized to bind that organization to these Terms.

Our Services

Sage Cooking provides an AI-driven platform that generates customized recipes based on user inputs, preferences, and dietary requirements. The recipes and other content generated by the platform are intended for informational and entertainment purposes only. While Sage Cooking strives to provide useful and creative culinary ideas, the actual preparation, cooking, and consumption of food based on generated recipes are solely your responsibility.

We reserve the right to update, modify, suspend, or discontinue any aspect of our services at any time without notice or liability. Your use of our services is subject to full compliance with these Terms, and AI Dente, LLC disclaims all liability for the modification or discontinuation of any feature of the website or services.

Intellectual Property

All intellectual property rights in and to our website, services, and Content, including but not limited to copyrights, trademarks, trade secrets, and proprietary algorithms, are owned by AI Dente, LLC or its licensors. You acknowledge and agree that you do not acquire any ownership rights to the Content generated by Sage Cooking.

The name “Sage Cooking,” the logo, and all related names, logos, product and service names, designs, and slogans are trademarks of AI Dente, LLC. You may not use such marks without our prior written permission.

Content License

By using Sage Cooking to generate recipes or other content, you acknowledge that AI Dente, LLC retains all rights, title, and interest in and to the generated Content. You are granted a limited, non-exclusive, royalty-free, worldwide, perpetual, and non-transferable license to use the generated Content for personal, non-commercial purposes. This license does not confer any right to sublicense, sell, distribute, or otherwise commercially exploit the Content. Any commercial use of the Content without our prior written consent is expressly prohibited.

User-Generated Content

Users may upload content, including, without limitation, recipe prompts or food photos, to the Sage Cooking platform. By uploading content, you retain ownership of the content but grant AI Dente, LLC a non-exclusive, royalty-free, worldwide license to use, display, and distribute the uploaded content in connection with our services, including marketing and promotional purposes.

By uploading content, you warrant that:

  • You hold all necessary rights and permissions to upload the content.
  • The content does not violate any third-party intellectual property rights.
  • The content does not violate any applicable laws or regulations.

AI Dente, LLC reserves the right to review and remove any content that it deems inappropriate, in violation of these Terms, or otherwise objectionable.

Disclaimer of Liability for Recipe Use

Sage Cooking provides AI-generated recipes based on user inputs, preferences, and dietary selections. AI Dente, LLC does not warrant or guarantee the accuracy, reliability, completeness, safety, or suitability of any recipes or other content generated by the platform. You acknowledge and agree that the responsibility for ensuring the safety and suitability of ingredients, as well as the proper preparation, handling, cooking, and storage of food, lies solely with you.

All recipes generated by Sage Cooking are intended for informational purposes only, and you assume all risk and responsibility for any adverse outcomes, including but not limited to foodborne illness, allergic reactions, cooking accidents, or any other harm or damage arising from the use of the recipes. It is your responsibility to:

  • Verify the accuracy of the recipe ingredients and instructions.
  • Ensure that all ingredients are safe for consumption and properly handled.
  • Follow proper food safety guidelines and regulations.
  • Consult with a health professional regarding dietary restrictions or allergies.

AI Dente, LLC expressly disclaims any and all liability arising from the use of recipes or content generated by the platform, including liability for personal injury, illness, property damage, or other harm caused by improper food preparation or consumption.

Indemnification

You agree to indemnify, defend, and hold harmless AI Dente, LLC, its affiliates, licensors, officers, directors, employees, agents, and contractors from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

  • Your use of our website, services, or Content.
  • Any failure to follow proper food safety practices when preparing or consuming food based on recipes generated by Sage Cooking.
  • Any violation of these Terms.
  • Any harm, injury, or damages, including but not limited to foodborne illness, allergic reactions, or accidents caused by the use of recipes or content from Sage Cooking.
  • Any claims by third parties arising from your use of the Content for commercial purposes, where applicable.

This indemnification obligation extends to any and all liabilities or legal actions resulting from your use of Sage Cooking and its Content, including negligent or improper food handling.

Subscription Service

Sage Cooking offers paid subscription tiers, which provide additional features not available in the free version of the service. By subscribing, you agree to the following terms:

Subscription Fees and Payment: Subscription fees are charged on a recurring basis, as outlined during the signup process. Payments are processed through secure third-party payment gateways.

  • Automatic Renewal: Subscriptions may automatically renew at the end of each billing cycle unless you cancel your subscription before the renewal date.
  • Cancellation: You may cancel your subscription at any time. Cancellations take effect at the end of the current billing cycle, and no refunds will be provided for the remaining period.
  • Changes to Subscription Fees: Sage Cooking reserves the right to modify subscription fees at any time without notice.

Disclaimer of Warranties

Sage Cooking, including all content, services, and features, is provided on an "as is" and "as available" basis, without any representation or warranty of any kind, express or implied, statutory or otherwise, including but not limited to any warranties of merchantability, fitness for a particular purpose, title, non-infringement, or that the services or content will meet your requirements or expectations.

To the fullest extent permitted by applicable law, AI Dente, LLC disclaims all warranties of any kind, whether express or implied, relating to the performance, accuracy, reliability, security, availability, timeliness, or completeness of the services or any content accessed through Sage Cooking.

Without limiting the foregoing, AI Dente, LLC does not represent or warrant that:

  • The operation of Sage Cooking will be uninterrupted, timely, secure, or error-free;
  • The content provided through the platform, including but not limited to AI-generated recipes, will be accurate, reliable, or free of errors, defects, harmful components, or inaccuracies;
  • Any defects or errors will be corrected;
  • The services will meet your requirements or expectations;
  • The services are free from viruses, malware, or other harmful components; or
  • The results obtained from your use of Sage Cooking will be accurate, reliable, or free from risk.

You understand and agree that your use of Sage Cooking, including any reliance on recipes or content generated, is at your sole risk, and you assume full responsibility for any consequences arising from such use. It is your responsibility to evaluate the accuracy, completeness, or usefulness of any content available through Sage Cooking, including AI-generated recipes, and to exercise independent judgment, particularly regarding food safety, ingredient suitability, and any potential dietary restrictions.

Limitation of Liability

To the fullest extent permitted by law, under no circumstances shall AI Dente, LLC, its affiliates, licensors, service providers, officers, directors, employees, agents, or contractors be liable to you or any third party for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to loss of profits, loss of data, business interruption, personal injury, property damage, or any other intangible losses, arising from or related to your access to, use of, or inability to access or use Sage Cooking, or any content, services, or features of Sage Cooking, regardless of the form of action, whether based on contract, tort (including negligence), strict liability, or any other legal or equitable theory, and regardless of whether AI Dente, LLC has been advised of the possibility of such damages.

Specifically, AI Dente, LLC will not be liable for any damages or losses arising from:

  • Your reliance on any content, including AI-generated recipes, provided through Sage Cooking;
  • Any error, omission, or inaccuracy in the content;
  • Your inability to access or use the platform, including but not limited to technical malfunctions, outages, or delays;
  • Personal injury, illness, allergic reactions, or other harm resulting from the preparation, cooking, or consumption of food based on recipes generated through Sage Cooking;
  • Unauthorized access to or use of your account, including any unauthorized alteration or deletion of your data.

In no event shall AI Dente, LLC's total cumulative liability arising from or related to your use of Sage Cooking, whether in contract, tort, or any other legal or equitable theory, exceed the greater of (i) the total amount of fees, if any, paid by you to AI Dente, LLC for the use of the services during the six (6) months immediately preceding the event giving rise to the claim, or (ii) one hundred U.S. dollars (USD $100).

Indemnification

You agree to indemnify, defend, and hold harmless AI Dente, LLC, its affiliates, licensors, officers, directors, employees, agents, contractors, successors, and assigns from and against any and all claims, demands, liabilities, damages, judgments, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of, or conduct in connection with, Sage Cooking, including but not limited to the preparation, consumption, or distribution of any recipes or content generated by the platform;
  • Your breach of any provision of these Terms, including any representation, warranty, or covenant made by you;
  • Your violation of any applicable law, regulation, or the rights of any third party (including but not limited to intellectual property rights, privacy rights, or publicity rights); or
  • Any third-party claims brought against AI Dente, LLC as a result of your negligence, willful misconduct, or failure to follow proper food safety, handling, or preparation practices in connection with the use of Sage Cooking.
  • AI Dente, LLC reserves the right, at its sole discretion, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate fully with AI Dente, LLC in asserting any available defenses.

Termination

AI Dente, LLC reserves the right, in its sole discretion and without notice, to terminate or suspend your access to and use of Sage Cooking, including but not limited to your account, for any reason, including but not limited to your breach of these Terms. Upon termination, your right to use Sage Cooking and its services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property rights, disclaimers of warranties, indemnities, and limitations of liability.

Termination of your access to the platform shall not relieve you of any obligation to pay any fees or charges owed to AI Dente, LLC prior to such termination. Any such termination will not affect your obligations under these Terms that remain in effect following termination.

Governing Law and Dispute Resolution

These Terms, and any dispute or claim arising out of or relating to them or your use of Sage Cooking, shall be governed by and construed in accordance with the laws of the state of Delaware, without regard to its conflict of law provisions. You agree that any legal action or proceeding arising under or related to these Terms shall be brought exclusively in the state or federal courts located in Delaware, and you hereby consent to the personal jurisdiction and venue of such courts.

You agree to waive any objection to the exercise of jurisdiction over you by such courts and to venue in such courts, including any claim that such court is an inconvenient forum.

Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be deemed severed from these Terms and shall not affect the validity or enforceability of the remaining provisions. The remaining provisions of these Terms shall remain in full force and effect and shall be construed to give effect to the original intent of the parties, to the maximum extent permitted by law.

If a court determines that any provision of these Terms, or part thereof, is invalid or unenforceable as written, but could be made valid or enforceable by modifying it, the court shall so modify the provision to the minimum extent necessary to make it valid and enforceable.

Modifications to Terms

AI Dente, LLC reserves the right to modify, amend, or update these Terms, at its sole discretion, at any time. Such modifications will take effect immediately upon posting the updated Terms to the Sage Cooking website, or at any future date specified in the modifications.

You are responsible for regularly reviewing these Terms to stay informed of any changes. Your continued use of Sage Cooking after any modifications to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must discontinue your use of Sage Cooking and any services provided.

Entire Agreement

These Terms, along with any other legal notices or policies published by AI Dente, LLC on the Sage Cooking website, constitute the entire agreement between you and AI Dente, LLC regarding your use of Sage Cooking and its services.

These Terms supersede any prior or contemporaneous agreements, communications, or proposals, whether oral or written, between you and AI Dente, LLC concerning the subject matter addressed herein. No additional or conflicting terms proposed by you, whether in communication, purchase orders, or otherwise, will be accepted unless expressly agreed to in writing by AI Dente, LLC.

In the event of a conflict between these Terms and any other policies or agreements referenced herein, these Terms shall control.

No Waiver

The failure of AI Dente, LLC to enforce any provision of these Terms or exercise any right or remedy hereunder shall not constitute a waiver of such provision, right, or remedy. Any waiver of any provision, right, or remedy must be made in writing and signed by an authorized representative of AI Dente, LLC.

Any waiver granted on one occasion shall not be deemed a waiver of any future right or remedy under these Terms.

Assignment

You may not assign or transfer your rights or obligations under these Terms without the prior written consent of AI Dente, LLC. Any attempted assignment or transfer in violation of this provision will be null and void.

AI Dente, LLC may assign or transfer its rights and obligations under these Terms, at its sole discretion, without restriction. These Terms shall be binding upon and inure to the benefit of the parties and their respective successors, permitted assigns, and legal representatives.

Governing Law and Dispute Resolution

These Terms, and any dispute or claim arising out of or in connection with them or your use of Sage Cooking, shall be governed by and construed in accordance with the laws of the state of Delaware, without regard to its conflict of law principles.

You agree that any legal action, suit, or proceeding arising out of or related to these Terms shall be instituted exclusively in the state or federal courts located in Delaware. You hereby consent to the personal jurisdiction and venue of such courts and waive any objections regarding the inconvenience of the forum.

Notwithstanding the foregoing, AI Dente, LLC reserves the right to seek injunctive or equitable relief in any jurisdiction to enforce its intellectual property rights or safeguard its legitimate business interests.
